1. Acceptance of Terms

By accessing or using Talexa ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. Talexa is operated by Talexa Inc. ("Company," "we," "us," or "our").

2. Description of Service

Talexa is a SaaS platform that enables users to transform YouTube recordings into simulated live webinar experiences. The Service includes tools for scheduling, audience engagement, chat automation, and lead capture.

3. Free Trial & Subscription

We offer a 30-day free trial to new users. By starting a trial, you agree to the following:

• Your trial begins on the date you complete the checkout process and provide a valid payment method.
• At the end of the 30-day trial period, your subscription will automatically convert to a paid plan at $79.00 USD per month unless you cancel before the trial ends.
• Billing is recurring and will be charged monthly to your payment method on file.
• All charges are non-refundable except as required by applicable law.

4. Cancellation Policy

You may cancel your subscription at any time by:

• Navigating to your Dashboard → Settings and clicking "Cancel Subscription," or
• Emailing us at support@talexa.io.

Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. No partial-month refunds are provided.

5. Permitted Use & Fair Use Policy

Talexa subscriptions include:

• Unlimited Webinars — create and host as many webinar events as needed.
• Unlimited Duration — no time cap on webinar length.
• Unlimited Attendance — no viewer cap per session.

Use is subject to our fair use policy. We reserve the right to throttle or suspend accounts that place unreasonable load on our infrastructure or use the Service for abusive, illegal, or automated bulk-spam purposes.

6. User Responsibilities

You agree to:

• Provide accurate account information.
• Only use YouTube content you have the right to use.
• Not use the Service for spam, phishing, fraud, or any unlawful purpose.
• Keep your login credentials confidential.

7. Intellectual Property

All platform software, design, and content created by Talexa remains the exclusive property of Talexa Inc. You retain ownership of content you upload or create using the Service. By using the Service, you grant Talexa a limited license to host and process your content solely to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALEXA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by a prominent notice on our website. Continued use of the Service after changes constitutes acceptance of the revised Terms.
